POSITION SPECIFICATION
Company: TRAVEL AND TOURISM COMPANY
Title: LEGAL HEAD
Reports to: CHAIRMAN
DUTIES
1. Ensure that the contracts of the Company with the external parties including the standard terms and conditions in the nature of contract are comprehensively drafted/vetted for guarding the Company against any legal risks of enforceability relating to operations for outsourcing services and all other commercial contracts.
2. Drafting of legal documents, viz, MOU’S, Service Agreement, Outsourcing Agreement, Power of Attorney, Confidentiality agreement, Lease Agreement, Leave & License Agreement, Amenities Agreement, etc.
3. To act as a facilitator to HR for completing all legal documentation in connection with obtaining work permit for employees deputed/transferred abroad for assignments in various subsidiary companies.
4. All registration, renewal and opposition matters relating to Trademarks in India and overseas countries.
5. Providing a system of compliance of various laws applicable to the Company/checklists and periodical compliance checks to ensure that certification for compliance is based on implementation of checklists.
6. Update the internal customers/SBU’s/Divisions on new developments/changes in law with a view to create awareness for timely compliance.
7. Manage overseas legal compliance through country specific legal counsels.
8. To act as a in-house legal Counsel to facilitate the understanding of legal issues and perform due diligence wherever required.
9. To protect the Company and management against any prosecution / litigation of whatsoever nature.
10. To control outsourced legal costs in all overseas countries.
Secretarial
1. To ensure compliance with all statutory requirements under applicable company laws in Indian and overseas jurisdictions for the Company
2. To understand the complexities involved with regard to foreign equity restrictions in each countries and incorporate companies in Middle East, Hong Kong, Nigeria, Ghana, Lebanon, Africa and such other countries from time to time.
3. To manage overseas statutory compliance through external secretarial consultants.
4. To act as a custodian of all corporate records and authentic copies of all contracts, agreements, permits and approvals.
5. To control outsourced secretarial costs in all overseas countries.
Desired Profile : ACS / FCS with degree in law
Experience : 8-12 years in organisations having multiple holding & subsidiary
companies operating in India and overseas countries of which last 3 years must have independently handled all secretarial & legal functions.
Qualities : good legal & commercial judgement, goal oriented, team player,
inter-personal & cross functional relationships, ability to work in a demanding environment.

- He must encourage a flat strucuture and direct contact between management and staff.
- Implement policies to enrich Group’s communications and reduce decision and implementation times
- Implement systems and work environment that attracts the best talent in the Travel sector to the company

THE PERSON
- The candidate must have a demonstrated track record of establishing globally benchmarked HR practices and demonstrated ability to improve the company’s performance and image with such practices
- The candidate must have the ability to deliver in a very fast scaling environment where new hires may be as large as the current employee strength and where mergers and acquisitions are a norm
Education & Experience:
- MBA(HR) or similar qualifications
- 15-20 years experience with atleast 5 years as an HR Head at one of India’s best managed companies
- Experience with implementing globally benchmarked HR practices would be preferable
CTC:
30-40 Lacs
